These Terms & Conditions ("Terms") govern your access to and use of the website, products, services, coaching programs, memberships, courses, digital materials, workshops, communities, and other offerings provided by Cohort Solutions LLC, operating under The Cohort IV brand ("The Cohort IV," "Cohort IV," "we," "us," or "our").

By accessing our website, purchasing or using our products or services, enrolling in a membership or program, scheduling a paid session, or otherwise using our services, you agree to these Terms.

If you do not agree to these Terms, please do not purchase or use our products or services.

1. Eligibility

Cohort IV's products and services are intended for individuals who are at least 18 years old.

By purchasing or using our products or services, you represent that you are legally capable of entering into a binding agreement.

2. Our Services

Cohort IV provides educational, coaching, advisory, accountability, and business-development products and services.

Offerings may include, but are not limited to:

  • Individual coaching or strategy sessions

  • Group coaching

  • Membership programs

  • Workshops and masterclasses

  • Courses and training programs

  • Digital products and resources

  • Worksheets, workbooks, templates, and assessments

  • Communities and member resources

  • Recorded training and educational content

  • Other products and services offered from time to time

Specific features, deliverables, pricing, duration, access periods, and other details may vary by offer and will be described on the applicable sales page, checkout page, order form, booking page, or other offer-specific materials.

3. Educational and Coaching Disclaimer

Cohort IV provides education, coaching, accountability, strategy, and general business guidance.

Unless expressly stated otherwise, our services do not constitute legal, tax, accounting, investment, financial, medical, mental health, or other regulated professional advice.

Although individual Cohort IV coaches or contributors may have professional credentials or experience in particular fields, information provided through Cohort IV is offered in the context of Cohort IV's educational and coaching services unless expressly agreed otherwise in writing.

You are responsible for evaluating information and making your own business, financial, legal, career, and personal decisions.

You should consult appropriately qualified professionals regarding matters requiring specialized professional advice.

4. No Guarantee of Results or Earnings

Business and entrepreneurial results vary significantly from person to person.

Cohort IV does not guarantee that you will:

  • Start or successfully operate a business

  • Generate revenue or profit

  • Acquire customers or clients

  • Replace employment income

  • Obtain financing or business credit

  • Achieve financial independence

  • Reach a particular revenue level

  • Experience any particular business, career, or financial result

Examples, testimonials, case studies, discussions of revenue, and descriptions of results achieved by Cohort IV, its coaches, members, customers, or other individuals are provided for illustrative purposes and are not promises or guarantees of what you will achieve.

Your results depend on numerous factors, including your experience, effort, decisions, market conditions, implementation, resources, and circumstances outside Cohort IV's control.

You accept responsibility for your own results and business decisions.

5. Pricing and Payment

Prices for Cohort IV products and services are disclosed at the time of purchase.

By completing a purchase, you agree to pay the price and applicable charges presented to you at checkout.

Payment may be processed by third-party payment processors. By submitting payment information, you authorize us and our payment providers to process the applicable transaction.

You represent that you are authorized to use the payment method provided.

Unless otherwise expressly stated in an offer, payment for a one-time product or service is due at the time of purchase.

6. Promotions, Discounts, and Offer-Specific Terms

Cohort IV may offer promotions, discounts, introductory pricing, trials, bonuses, bundled services, grandfathered pricing, or other special offers.

Such offers may be subject to additional terms disclosed at the time of purchase.

Promotional pricing does not create an entitlement to the same pricing for future purchases, renewals, or other customers.

If offer-specific terms expressly differ from these general Terms, the offer-specific terms will control with respect to that particular offer.

7. Recurring Memberships and Subscriptions

Certain Cohort IV products or services may be offered on a recurring subscription or membership basis.

When you enroll in a recurring offering, the applicable price and billing frequency will be disclosed before purchase.

By enrolling, you authorize Cohort IV and its payment processor to automatically charge your selected payment method according to the billing frequency disclosed at enrollment until you cancel.

Cancellation

Unless different terms are disclosed for a particular offering, you may cancel a recurring membership or subscription at any time before your next billing date to prevent the next recurring charge.

Cancellation applies prospectively and does not ordinarily generate a prorated refund for the current billing period.

Unless otherwise stated, you will retain access through the remainder of the period for which you have already paid.

Price Changes

Cohort IV may change the price of a recurring offering.

When a price change applies to an existing subscriber, we will provide reasonable advance notice as required by applicable law before charging the new price.

Any grandfathered or locked-in pricing applies only when Cohort IV expressly offers such pricing.

Failed Payments

If a recurring payment fails, we may attempt to process the payment again, request an updated payment method, suspend access, or terminate the applicable membership or service.

You remain responsible for amounts properly due under your subscription until it is canceled.

8. Coaching Sessions, Consultations, and Appointments

Payment for paid appointments is due as disclosed during the booking or checkout process.

Rescheduling and Cancellation

Unless different terms are expressly disclosed for a particular appointment:

  • You may cancel or reschedule a paid appointment at least 24 hours before its scheduled start time.

  • If you timely cancel a prepaid appointment at least 24 hours in advance, you may request a refund of the amount paid for that appointment.

  • If you reschedule at least 24 hours in advance, the payment may be applied to the rescheduled appointment.

Late Cancellations and No-Shows

Appointments canceled less than 24 hours before their scheduled start time and appointments that you fail to attend are generally non-refundable.

There is no automatic right to reschedule a late cancellation or missed appointment.

However, we understand that unexpected circumstances occur. Cohort IV may, at its discretion, permit a customer to reschedule a late-canceled or missed appointment without purchasing another session.

Our decision to make an exception in one situation does not obligate us to make the same exception in the future.

Late Arrival

If you arrive late to an appointment, the session may still end at the originally scheduled time.

Depending on availability and circumstances, Cohort IV may choose to extend or reschedule a session, but is not obligated to do so.

Cancellation by Cohort IV

If Cohort IV must cancel or materially reschedule a paid appointment and we cannot provide a mutually acceptable alternative, you may receive a refund of the amount paid for the affected appointment.

9. Refund Policy

Except where otherwise stated in these Terms, required by applicable law, or expressly provided in an offer-specific guarantee or refund policy, purchases from Cohort IV are non-refundable once the applicable product or service has been delivered or accessed.

Coaching and Appointments

Refunds for scheduled coaching sessions and appointments are governed by Section 8 above.

Digital Products, Courses, and Downloadable Materials

Digital products, courses, downloadable materials, templates, workbooks, recordings, and similar products are generally non-refundable after access or delivery has been provided.

Memberships and Subscriptions

Recurring membership or subscription charges are generally non-refundable after being charged, and no prorated refunds are provided for unused portions of a billing period unless otherwise stated or required by law.

Specific Guarantees

If a particular offer includes a separate money-back guarantee or refund policy, the terms presented with that offer will govern that purchase.

10. Recordings

Certain Cohort IV sessions and events may be recorded.

Private Individual Sessions

Individual coaching or Business Clarity sessions may be recorded so that the participant can receive or review the recording as part of the service.

Cohort IV will not intentionally use a recording of a private individual session for a course, training program, advertisement, testimonial, or marketing material without obtaining separate permission from the participant.

Group Coaching, Workshops, and Membership Sessions

Group coaching calls, workshops, member meetings, masterclasses, trainings, and similar group sessions may be recorded.

By voluntarily participating in a recorded group session after receiving notice that recording may occur, you acknowledge and agree that your name, image, voice, comments, questions, and other contributions may be captured.

Recordings may be:

  • Provided as replays

  • Included in member libraries

  • Incorporated into courses

  • Used in training programs

  • Used as educational resources

  • Retained for internal program development and improvement

Cohort IV will not intentionally isolate and use your recorded contribution as a customer testimonial or endorsement in advertising without appropriate permission.

If you do not want personal information captured in a group recording, you are responsible for limiting what you voluntarily disclose during the recorded session.

11. Community Participation and Conduct

Cohort IV programs may provide opportunities to interact with coaches, customers, members, guests, or other participants.

You agree to participate respectfully and not to:

  • Harass, threaten, intimidate, or abuse another participant

  • Engage in discriminatory or unlawful conduct

  • Deliberately disrupt sessions or communities

  • Spam, solicit, or market to other members without authorization

  • Misrepresent your identity or qualifications

  • Share another person's private information without authorization

  • Use Cohort IV programs for illegal or fraudulent purposes

  • Infringe intellectual property rights

  • Record sessions without authorization

  • Share paid materials or access credentials with unauthorized persons

  • Engage in conduct that materially harms Cohort IV or its community

Cohort IV may remove content, restrict participation, suspend access, or terminate a participant for violations of these standards.

12. Confidentiality in Group Environments

Participants may share business ideas, experiences, strategies, personal circumstances, or other information during group programs.

We expect participants to respect the privacy and confidentiality of information shared by others and not disclose another participant's non-public information outside the applicable program without permission.

However, group coaching and community environments inherently involve interaction with third parties.

Cohort IV cannot guarantee that another participant will maintain confidentiality.

You should therefore use appropriate judgment and avoid sharing trade secrets, passwords, financial account information, protected health information, highly sensitive personal information, or other information you would not want disclosed outside the group.

13. Intellectual Property

Unless otherwise stated, Cohort IV and/or its licensors own the intellectual property rights in Cohort IV materials, including:

  • Courses

  • Videos and recordings

  • Workbooks and worksheets

  • Frameworks and methodologies

  • Templates

  • Presentations

  • Training materials

  • Graphics

  • Written content

  • Website content

  • Branding

  • Member resources

  • Other proprietary materials

Purchasing or accessing a Cohort IV product gives you a limited, personal, non-exclusive, non-transferable, revocable license to use the applicable materials for your own personal or internal business purposes.

You may not, without written permission:

  • Copy or reproduce materials for distribution

  • Resell Cohort IV materials

  • Publish paid materials publicly

  • Share account credentials or paid access

  • Upload materials to file-sharing websites or public artificial intelligence datasets

  • Create substantially derivative courses or products from proprietary Cohort IV materials

  • Remove copyright, trademark, or proprietary notices

  • Present Cohort IV materials as your own

  • Use Cohort IV intellectual property for commercial training or coaching of others

Nothing in these Terms transfers ownership of Cohort IV intellectual property to you.

14. Your Content and Contributions

You retain ownership of original materials and intellectual property that you provide to Cohort IV.

You grant Cohort IV permission to use information and materials you provide as reasonably necessary to deliver the services you request.

Participation in a recorded group session is also subject to the recording provisions in Section 10.

Providing feedback, suggestions, or ideas about Cohort IV's products or services does not obligate Cohort IV to compensate you for implementing general feedback or suggestions.

15. Testimonials and Marketing

Cohort IV will obtain appropriate permission before intentionally using an identifiable customer's testimonial, endorsement, photograph, private-session recording, or similar customer-specific content in advertising or promotional materials.

If you voluntarily submit a testimonial or expressly authorize us to use one, you grant Cohort IV permission to use the approved content in accordance with the authorization provided.

We may edit testimonials for length, grammar, formatting, or clarity provided that we do not materially misrepresent the substance of the customer's statement.

16. Third-Party Products and Services

Cohort IV may recommend, discuss, link to, integrate with, or use third-party products and services.

These may include software platforms, payment processors, business tools, service providers, educational resources, or other third-party offerings.

Cohort IV does not control third-party products or services and is not responsible for their availability, performance, security, terms, pricing, or privacy practices.

Your use of a third-party service may be governed by separate agreements between you and that provider.

17. Affiliate Relationships

Cohort IV may occasionally recommend products or services for which Cohort IV or one of its owners, coaches, or affiliates may receive compensation.

Where required or appropriate, we will disclose material affiliate or referral relationships.

An affiliate relationship does not change the price you pay unless expressly stated.

You remain responsible for determining whether a recommended product or service is appropriate for your needs.

18. Artificial Intelligence and Technology

Cohort IV may use artificial intelligence, automation, and other technology to assist with research, content development, business operations, communications, program development, analysis, or delivery of certain services.

Artificial intelligence can produce incomplete, inaccurate, or inappropriate information.

You should independently evaluate important information before relying on it for business, financial, legal, or other consequential decisions.

19. Accounts and Access

If a Cohort IV product or service requires an account, you are responsible for maintaining the confidentiality of your login credentials.

Unless expressly permitted, access is licensed to the individual or organization that purchased the product and may not be shared with unauthorized users.

You are responsible for activity conducted through your account to the extent permitted by law.

Notify Cohort IV promptly if you believe your account has been accessed without authorization.

20. Suspension and Termination

Cohort IV may suspend or terminate access to a program, membership, community, product, or service if you:

  • Fail to make required payments

  • Violate these Terms

  • Harass or threaten participants or coaches

  • Improperly distribute Cohort IV intellectual property

  • Share unauthorized access

  • Engage in fraud or illegal conduct

  • Materially disrupt a program or community

  • Engage in conduct that reasonably threatens Cohort IV, its customers, or its operations

If access is terminated because of your misconduct or violation of these Terms, you generally will not be entitled to a refund.

If Cohort IV terminates a prepaid service for reasons unrelated to your misconduct, we may provide an appropriate refund for the unused portion of the affected prepaid service.

21. Chargebacks and Payment Disputes

If you believe a charge is incorrect, we encourage you to contact us at [email protected] before initiating a payment dispute or chargeback so that we have an opportunity to investigate and resolve the issue.

Nothing in this section waives any rights you may have under applicable law or your agreement with your payment provider.

Cohort IV reserves the right to provide transaction records, acceptance of these Terms, access records, appointment records, communications, and other relevant information to payment processors or financial institutions when responding to a payment dispute.

A chargeback does not automatically terminate amounts legitimately owed under an agreement with Cohort IV.

22. Website Availability and Changes to Services

We strive to provide reliable access to our website and services, but we do not guarantee uninterrupted or error-free availability.

Services may occasionally be unavailable because of maintenance, technical issues, third-party outages, circumstances beyond our control, or other reasons.

Cohort IV may modify, replace, update, or discontinue features, content, programs, schedules, coaches, platforms, or services when reasonably necessary.

If a material change prevents us from delivering a prepaid service substantially as promised, we will work in good faith to provide an appropriate alternative or refund as circumstances warrant.

23. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Cohort IV's website, content, products, and services are provided on an "as is" and "as available" basis.

We make no warranty that our products or services will meet every expectation, produce a particular result, operate without interruption, or be error-free.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

24. Limitation of Liability

To the fullest extent permitted by applicable law, Cohort Solutions LLC, The Cohort IV, and their respective owners, members, coaches, contractors, employees, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of Cohort IV products or services.

This includes, where legally permitted, loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.

To the fullest extent permitted by law, Cohort IV's aggregate liability arising from a particular product, service, transaction, or event will not exceed the amount you paid to Cohort IV for the product or service giving rise to the claim during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

25. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Cohort Solutions LLC, The Cohort IV, and their owners, members, coaches, employees, contractors, and agents from third-party claims, liabilities, damages, or reasonable costs arising from:

  • Your unlawful use of our services

  • Your material violation of these Terms

  • Your infringement of another person's intellectual property or legal rights

  • Content or materials you provide that violate another person's rights

  • Your business activities or decisions undertaken independently of Cohort IV

This provision does not require you to indemnify Cohort IV for conduct for which indemnification cannot lawfully be required.

26. Privacy

Your use of Cohort IV products and services is also subject to our Privacy Policy.

The Privacy Policy explains how we collect, use, disclose, and protect personal information and should be reviewed together with these Terms.

27. Informal Dispute Resolution

If a dispute arises between you and Cohort IV, we encourage both parties to attempt to resolve the matter informally before filing a lawsuit.

Before initiating litigation, you agree to contact Cohort IV at [email protected] with a reasonable description of the dispute and the resolution you are requesting.

Cohort IV will likewise attempt in good faith to address disputes informally where reasonably practicable.

Nothing in this section prevents either party from seeking urgent or emergency relief when necessary to protect legal rights or prevent immediate harm.

28. Governing Law and Venue

These Terms and disputes arising from or relating to them are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable law requires otherwise.

To the extent a dispute is properly brought in court and applicable law permits the parties to agree to venue, the parties agree that the state or federal courts having jurisdiction in or over Butler County, Pennsylvania will be the exclusive venue for such proceedings.

29. Changes to These Terms

Cohort IV may update these Terms periodically to reflect changes to our services, business practices, technology, or legal requirements.

The "Last Updated" date will identify the most recent version.

Material changes may be communicated through our website, email, account notice, or another reasonable method when appropriate or required by law.

Changes will apply prospectively to the extent required by applicable law.

30. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where possible, and the remaining provisions will remain in effect.

31. No Waiver

Cohort IV's failure to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision in the future.

Any exception we make regarding a cancellation, refund, rescheduling request, payment, or other policy is discretionary and does not establish a continuing obligation or modification of these Terms.

32. Entire Agreement

These Terms, together with our Privacy Policy and any applicable offer-specific terms presented to you at purchase or enrollment, constitute the agreement between you and Cohort IV concerning the applicable products and services.

If an offer-specific agreement expressly conflicts with these Terms, the more specific provision will govern that particular offering to the extent of the conflict.
